Merchant Agreement

This Merchant Agreement ("Agreement") is entered into between BeanHub Australia Pty Ltd(ACN 694 445 344) ("BeanHub", "we", "us", or "our") and you, the merchant ("Merchant", "you", or "your").

By completing the onboarding process and clicking "I agree" or by listing products on the BeanHub marketplace, you agree to be bound by the terms and conditions of this Agreement.

1. Definitions

  • "Marketplace" means the BeanHub online platform at beanhub.com.au and any associated applications
  • "Products" means the specialty coffee products and related items you list for sale on the Marketplace
  • "Customer" means any individual or entity that purchases Products through the Marketplace
  • "Commission" means the percentage fee payable to BeanHub on each sale, as agreed during onboarding
  • "Payout" means the payment made to you for sales, less Commission and any applicable fees
  • "RCTI" or "Recipient Created Tax Invoice" means a tax invoice created by the recipient (BeanHub) on behalf of the supplier (Merchant) in accordance with Australian tax law

2. Platform Services

BeanHub provides the following services to Merchants:

  • Access to list and sell Products on the Marketplace
  • Customer acquisition and marketing support
  • Payment processing through our integrated payment provider (Stripe)
  • Customer service support for order-related enquiries
  • Product visibility through our website and marketing channels
  • Order management tools and reporting

BeanHub acts as a facilitator between Merchants and Customers. The sale of Products is a direct transaction between you and the Customer, with BeanHub providing the platform and payment infrastructure.

3. Merchant Obligations

3.1 Product Listing Requirements

You agree to:

  • Provide accurate, complete, and up-to-date information about your Products, including descriptions, pricing, and images
  • Ensure all Products comply with Australian food safety regulations
  • Maintain appropriate food handling certifications and business registrations
  • Only list Products that you have the legal right to sell
  • Keep inventory and stock levels accurate and up to date

3.2 Order Fulfillment

You agree to:

  • Process and dispatch orders within 3 business days of receiving them, unless a longer lead time is specified
  • Use appropriate packaging to ensure Products arrive in good condition
  • Provide tracking information where available
  • Communicate promptly with BeanHub regarding any fulfillment issues or delays
  • Ship Products directly to the Customer at the address provided

3.3 Product Quality

You warrant that all Products:

  • Are of merchantable quality and fit for their intended purpose
  • Match their descriptions and any samples provided
  • Comply with all applicable laws and regulations
  • Do not infringe any third-party intellectual property rights

4. Commission and Payments

4.1 Commission Rate

You agree to pay BeanHub a Commission on each sale made through the Marketplace. Your Commission rate is displayed in your Merchant dashboard and was agreed during onboarding.

Commission is calculated as a percentage of the sale price (excluding shipping) for each item sold.

4.2 Payment Processing

All payments are processed through Stripe. By using BeanHub, you agree to Stripe's Connected Account Agreement.

When you provide personal information in connection with setting up payouts, Stripe receives that information and processes it in accordance with the Stripe Privacy Policy. What BeanHub itself receives and stores is set out in our Privacy Policy.

BeanHub collects payment from Customers on your behalf and transfers your Payout (sale amount minus Commission and Stripe fees) to your designated bank account.

4.3 Payout Schedule

Payouts are processed on the 1st of each month for all orders completed in the prior month. For example, orders completed in January will be paid out on 1 February.

4.4 Refunds

If a Customer is entitled to a refund under Australian Consumer Law or our Refund Policy, you authorise BeanHub to:

  • Process the refund to the Customer
  • Deduct the refunded amount from your future Payouts
  • Recover Commission already paid (where appropriate)

4.5 Recipient Created Tax Invoices (RCTI)

In accordance with the A New Tax System (Goods and Services Tax) Act 1999 and the Recipient Created Tax Invoice Determination 2023, you authorise BeanHub to issue Recipient Created Tax Invoices (RCTIs) on your behalf for the supply of services and products you provide through the Marketplace.

By accepting this Agreement, you acknowledge and agree that:

  • You are registered for GST with the Australian Taxation Office, or will notify BeanHub immediately if you are not GST registered or cease to be GST registered
  • BeanHub is registered for GST (ABN: 30 694 445 344)
  • BeanHub will issue an RCTI for each Payout made to you under this Agreement
  • You will not issue a tax invoice for supplies covered by an RCTI issued by BeanHub
  • RCTIs will be issued within 28 days of the Payout date (1st of each month) and made available through your Merchant dashboard or sent to your registered email address
  • Each RCTI will include all information required by the ATO, including both parties' ABNs and a statement that GST is payable by you (the supplier)
  • You will notify BeanHub within 21 days if you believe any RCTI contains an error

If you are not registered for GST, or if your GST registration is cancelled, you must notify BeanHub within 7 days. BeanHub will cease issuing RCTIs for your Payouts until you provide evidence of valid GST registration.

5. Intellectual Property

5.1 Your Content

You retain ownership of all intellectual property in your Product listings, including descriptions, images, and branding.

By listing Products on the Marketplace, you grant BeanHub a non-exclusive, royalty-free licence to use, display, and promote your Product content for the purpose of operating and marketing the Marketplace.

5.2 BeanHub Content

BeanHub and its licensors own all intellectual property in the Marketplace, including the website design, software, trademarks, and other proprietary content.

You may not use BeanHub's trademarks, logos, or other branding without prior written consent.

6. Liability and Indemnification

6.1 Your Liability

You are solely responsible for the Products you sell, including their quality, safety, and compliance with applicable laws. You bear all liability for:

  • Product defects or quality issues
  • Failure to comply with food safety regulations
  • Inaccurate Product information
  • Failure to fulfill orders as agreed
  • Infringement of third-party intellectual property rights

6.2 Indemnification

You agree to indemnify and hold harmless BeanHub, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

  • Your Products or their sale
  • Your breach of this Agreement
  • Your violation of any applicable laws
  • Any third-party claims related to your Products

6.3 Limitation of Liability

To the maximum extent permitted by law, BeanHub's total liability to you for any claims arising from this Agreement is limited to the Commission paid by you to BeanHub in the 12 months preceding the claim.

BeanHub is not liable for any indirect, incidental, consequential, or punitive damages.

7. Term and Termination

7.1 Term

This Agreement commences when you complete the onboarding process and continues until terminated by either party.

7.2 Termination by You

You may terminate this Agreement at any time by contacting BeanHub at support@beanhub.com.au. You must fulfill all outstanding orders before termination takes effect.

7.3 Termination by BeanHub

BeanHub may terminate this Agreement:

  • With 30 days' written notice for any reason
  • Immediately if you breach this Agreement and fail to remedy the breach within 14 days of notice
  • Immediately if you engage in fraud, illegal activity, or conduct that damages BeanHub's reputation

7.4 Effect of Termination

Upon termination:

  • Your Product listings will be removed from the Marketplace
  • You must fulfill all orders placed before termination
  • BeanHub will pay any outstanding Payouts (less any amounts owed to BeanHub)
  • Provisions regarding liability, indemnification, and confidentiality survive termination

8. Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other party, including business strategies, pricing information, and Customer data.

You must not use Customer information obtained through BeanHub for any purpose other than fulfilling orders, unless the Customer has given separate consent.

9. Platform Use

9.1 Acceptable Use

When using the BeanHub platform, you must not:

  • scrape, harvest or bulk-export data from the platform, or use automated tools to collect it;
  • place unreasonable load on the platform or interfere with its operation for others;
  • attempt to access accounts, data or areas of the platform you have not been granted access to;
  • reverse engineer or decompile any part of the platform, except to the extent the law permits;
  • use the platform to solicit BeanHub Customers to transact outside the Marketplace in a way that avoids Commission on a sale the Marketplace generated.

9.2 Account Security

You are responsible for keeping your account credentials secure and for activity carried out under your account. You must notify BeanHub promptly if you believe your account or your store credentials have been compromised.

9.3 Availability

The platform is provided on an as-is basis. BeanHub does not guarantee that the platform will be available, uninterrupted or error-free, and does not guarantee any level of sales, orders or revenue. Nothing in this clause excludes, restricts or modifies any guarantee, right or remedy under the Australian Consumer Law that cannot be excluded, restricted or modified.

9.4 Suspension

BeanHub may suspend or restrict your access to the platform, without terminating this Agreement, where it reasonably believes there has been a breach of this Agreement, where there is a security or fraud risk, or where required by law or by a third-party provider. BeanHub will notify you of the reason where it is practical and lawful to do so, and will restore access once the issue is resolved. Suspension does not relieve either party of obligations in respect of orders already placed.

10. General Provisions

10.1 Amendments

BeanHub may amend this Agreement by providing you with at least 30 days' notice. Continued use of the Marketplace after the amendment takes effect constitutes acceptance of the amended terms. Material changes may require you to re-accept the Agreement. If you do not accept an amendment, you may terminate this Agreement without penalty at any time before it takes effect, in accordance with clause 7.

10.2 Entire Agreement

This Agreement, together with our Privacy Policy, our Website Terms and any other policies referenced herein, constitutes the entire agreement between you and BeanHub regarding your use of the Marketplace. If there is any inconsistency between them, this Agreement prevails.

10.3 Severability

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

10.4 Waiver

A failure by BeanHub to enforce any right or provision of this Agreement is not a waiver of that right or provision.

10.5 Assignment

You may not assign or transfer this Agreement without BeanHub's prior written consent. BeanHub may assign this Agreement in connection with a merger, acquisition, or sale of assets.

11. Governing Law

This Agreement is governed by the laws of Victoria, Australia. Any disputes arising from this Agreement will be subject to the exclusive jurisdiction of the courts of Victoria, Australia.
